Terms of Service

This is a template drafted to match Widgenix's actual product. Have it reviewed by a lawyer before treating it as a binding contract with paying customers, particularly the liability, indemnity, and dispute-resolution sections.

1. Acceptance of terms

By checking the box at signup, clicking "Create account," or otherwise accessing or using Widgenix, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company.

Implementation note:present these Terms as a clickwrap at signup — a required checkbox ("I agree to the Terms of Service and Privacy Policy"), not just a footer link. Footer-only ("browsewrap") agreement is significantly weaker if you ever need to enforce these Terms.

2. The service

Widgenix provides a platform that reads a customer's knowledge base and generates AI-powered chat and voice agents that customers embed on their own websites, along with a dashboard to configure, monitor, and manage those agents (the "Service").

3. Accounts & registration

• You must provide accurate registration information and keep it up to date
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account, including actions by team members you invite
• Notify us immediately at support@widgenix.ai if you suspect unauthorized access to your account

4. Subscriptions, billing & cancellation

• Paid plans are billed in advance on a recurring basis (monthly or annual, as selected) via Stripe
• Plans include usage limits (messages, voice usage, knowledge sources); exceeding them may require an upgrade or incur overage charges as disclosed at time of purchase
• Subscriptions renew automatically unless cancelled before the renewal date
• You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period unless stated otherwise
• Except where required by law or explicitly stated in a plan's terms, fees are non-refundable
• We will provide clear, upfront pricing and an easy self-serve cancellation path, consistent with applicable consumer-protection rules on subscription cancellation

5. Acceptable use

You agree not to use Widgenix to:

• Upload or generate illegal, fraudulent, defamatory, or infringing content in a knowledge base
• Deploy widgets to collect sensitive personal data (health, financial, government IDs) without appropriate legal basis and safeguards
• Send spam or unsolicited communications through the Service
• Attempt to reverse-engineer, scrape, or interfere with the Service's infrastructure
• Use the Service in a way that violates any applicable law, including data protection, telecommunications, or consumer-protection law
• Deploy widgets on websites directed at children without the additional safeguards described in our Privacy Policy

We may suspend or terminate accounts that violate this section.

6. AI-generated content

Chat and voice responses are generated by AI models based on the knowledge base you provide. AI-generated responses may be inaccurate, incomplete, or inappropriate in some circumstances. You are responsible for reviewing your knowledge base, testing your agent before deployment, and configuring escalation rules for situations requiring human judgment (e.g., medical, legal, or financial advice). Widgenix does not guarantee the accuracy of any AI-generated output and disclaims liability for decisions made in reliance on it, to the maximum extent permitted by law.

7. Your content & knowledge base

You retain all ownership rights in the documents, data, and content you upload to train your agent ("Customer Content"). You grant Widgenix a limited license to host, process, and use Customer Content solely to provide the Service to you. We do not use your Customer Content to train shared or general-purpose models unless you separately opt in.

You are responsible for ensuring you have the necessary rights to upload any content to your knowledge base, and that it does not infringe third-party rights or violate applicable law.

8. Intellectual property

Widgenix and its licensors own all right, title, and interest in the Service, including its software, design, and underlying technology. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as needed to use the Service as intended.

9. Widget embed license

We grant you a limited, non-exclusive, non-transferable license to embed the Widgenix widget script on websites you own or control, for the duration of your active subscription, solely to provide the Service to your own visitors and customers.

10. Third-party services

The Service relies on third-party providers (see the sub-processor list in our Privacy Policy) for functions such as AI inference, text-to-speech, and payment processing. Your use of the Service is also subject to the extent those providers' availability affects our ability to deliver it; we are not liable for outages caused solely by a third-party provider's failure, though we will work to restore service promptly.

11. Suspension & termination

• You may cancel your account at any time via the dashboard
• We may suspend or terminate your account for breach of these Terms, non-payment, or suspected fraud or abuse, with notice where reasonably possible
• Upon termination, your right to use the Service ends; we will retain or delete your data per our Privacy Policy and any applicable data export window we provide

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, Widgenix's total liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim. Widgenix will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Nothing in these Terms limits liability where such limitation is not permitted under applicable law.

14. Indemnification

You agree to indemnify and hold Widgenix harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law.

15. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be subject to the exclusive jurisdiction of the courts of [City, e.g. Bengaluru], or resolved by arbitration seated in [City, e.g. Bengaluru] under the Arbitration and Conciliation Act, 1996, if the parties agree to arbitrate. If you are an enterprise customer with a signed order form specifying different governing law or venue, that order form controls for your account.

16. Changes to these terms

We may update these Terms from time to time. For material changes, we will notify you by email or in-product notice at least a reasonable period before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
